This Trademark License Agreement (“Agreement”), Dated as of June 24, 2024, Is by and Between Nidar Infrastructure Limited (“Licensee”) and Mr. Darshan Hiranandani (“Licensor”) (Collectively, the “Parties,” or Each, Individually, a “Party”). Whereas, Licensee Is Engaged in the Business of Operating and Maintaining Data Centers and Providing Related Services, and Natural Evolutions Thereof (The “Business”); Whereas, Licensor Owns Rights in and to the Name and Logo “Yotta”, Including the Registrations and Applications Set Forth on Schedule 1, and May Obtain Additional Rights in and to Such Name and Other Marks Confusingly Similar Thereto (“Licensed Marks”); and Whereas, Licensee Has Been Using the Licensed Marks Pursuant to Permission From the Licensor and the Parties Have Agreed to Record the Grant to Licensee of the License to Use the Licensed Marks, to Facilitate Licensee’s Conduct of the Business.
