This Separation and General Release Agreement (“Agreement”) Is Entered Into by and Among Enviva Management Company, LLC, a Delaware Limited Liability Company (“Company”), Enviva Inc., a Delaware Corporation (For the Limited Purpose of Vesting Equity Awards), and Shai S. Even (“Executive”). the Company and Executive Are Referred to Individually as a “Party” and Collectively as the “Parties.” Whereas, Executive Separated From Employment With the Company, With His Last Day of Employment Being August 29, 2023 (The “Separation Date”); and Whereas, the Company and Executive Wish to Resolve Any and All Claims That Executive Has or May Have Against the Company and the Other Company Parties (Defined Below). Now Therefore, in Consideration of the Promises in This Agreement, and for Other Good and Valuable Consideration, the Receipt and Sufficiency of Which Are Acknowledged by Executive and the Company, the Parties Agree as Follows: 1.
