Has Adopted the Ingredion Incorporated Supplemental Executive Retirement Plan (The "Plan") for the Benefit of Certain of Its Key Executives. the Purposes of the Plan Are (A) to Permit Certain Key Executives to Defer Payment of a Portion of Current Compensation, Including Short and Long Term Performance Bonus Payments, Until a Later Year, and (B) to Provide Participants and Their Beneficiaries With the Amount of Retirement Income That Is Not Provided Under (I) the Cash Balance Component of the Ingredion Pension Plan, (II) the Ingredion Incorporated Retirement Savings Plan and/or (III) Any Other Plan Sponsored by the Corporation or Any Other “Employer” Adopting the Plan in Accordance With Section 6.3 of the Plan Which Is Intended to Qualify as a Tax-Qualified Profit- Sharing Plan Under Section 401(a) of Code by Reason of Limits on Recognized Compensation Required by Sections 401(a)(17), 402(g) and 415 of the Internal Revenue Code of 1986, as Amended, and by Reason of Elective Compensation Deferrals Under This Plan.
